Pascual C. Meyer is the Head of the Corporate & Transactional Practice Group. His practice focus lies in health care law, securities, corporate compliance, and international law.
Experience. Pascual has substantial experience in advising health care executives, physicians, physician partnerships, hospitals, surgery centers, pharmacies, laboratories, health are marketing groups, as well as ancillary health care providers on effective fraud and abuse prevention — with special emphasis on the pertinent risks of the Anti-Kickback Statute, Stark Law, HIPAA, and the False Claims Act. In addition to health care law, Pascual routinely represents business clients on issues of regulatory compliance, compliance programs and corporate integrity agreements among other tools designed to address our clients’ ethical, adherence to law, and compliance needs.
Corporate Clients. Pascual entertains a broad corporate practice that ranges from nationally operating conglomerates with firmly established structures to start-up companies run by aspiring and talented entrepreneurs. Pascual has extensive experience in transactional corporate matters including public and private corporation structuring and management, corporate governance, compliance, state and federal securities, intellectual property rights as well as the negotiation and preparation of investment, merger and acquisition, stock and asset purchase, professional partnership, operating, franchise, non-compete, non-solicitation, mutual release and termination, confidentiality, employment, and contractor agreements and instruments. Recognizing the critical importance of ideas and business concepts, Pascual presents his clients proven solutions to protect their confidentiality interests, trade secrets, and intellectual property rights.
Physicians. Many physicians seek reliable guidance with respect to their professional obligations as well as the business opportunities that are presented to them. We review, create, and advise on the following business matters: physician investments, physician syndications, management services organizations (MSOs), medical director and consulting agreements, confidentiality agreements, professional partnerships, corporate governance, joint venture agreements between medical providers and institutions, joint venture agreements between physicians and ancillary services providers, and instruments regulating employment and independent contractor relationships. Pascual has successfully represented physicians, nurses and other professionals in disciplinary and board actions by applying industry knowledge and its relevant rules and regulations.
Pascual Covarrubias Meyer is a native of the Republic of Chile and fluent in Spanish and French. He graduated from the University of Utah with a triple major in Anthropology, Biology, and Psychology in 1992, from Southern Methodist University School of Law (SMU) with a Juris Doctorate in 1999, and from the University of Heidelberg’s renown Germany – South America Program with an international Master of Laws in 2011.
